1. Acceptance
By creating an account, clicking “I agree,” or using the Services, you accept these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization and “you” refers to that entity.
2. Accounts & eligibility
- You must be at least the age of majority in your jurisdiction and able to form a binding contract.
- Provide accurate registration information and keep it updated.
- You are responsible for all activity under your credentials. Keep your password and API keys confidential.
3. Billing & subscriptions
- Paid plans are billed in advance on a subscription basis (monthly or annually) unless agreed otherwise.
- Fees are non‑refundable except as required by law or expressly stated (e.g., uptime credits).
- Taxes are additional where applicable. You authorize us to charge your payment method for the subscription and any usage or overage fees.
- Plans may include usage tiers and overage charges; see the Pricing page or your Order Form.
4. Free trials
We may offer free trials. At the end of a trial, continued use requires a paid subscription. We may restrict or end trials at any time.
5. Acceptable use
- No unlawful, infringing, or harmful activities.
- No reverse engineering, scraping at scale, or circumventing technical limits.
- No sharing of accounts or keys beyond your organization; do not resell without written permission.
- Follow fair use: respect rate limits, do not overload or interfere with the Services.
6. Customer data & content
Customer Data means information you or your users submit to the Services. You retain all rights in Customer Data. You grant Finbar a limited license to process Customer Data to provide and improve the Services, consistent with our Privacy Policy and any DPA where applicable.
You are responsible for obtaining rights to any third‑party content you ingest or process through the Services.
7. Intellectual property
Finbar and its licensors own all rights in the Services, including software, documentation, logos, and data structures. No rights are granted except as expressly stated in these Terms.
8. Feedback
If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty‑free license to use them without restriction.
9. API & SDK license
Subject to these Terms, we grant you a non‑exclusive, non‑transferable, revocable license to access the API and SDKs to build integrations with your applications. You must comply with our documentation, attribution, and security requirements.
10. Usage & rate limits
We may enforce limits on requests per minute, per day, or per billing period. We may throttle or suspend access that exceeds limits or risks service stability.
11. Third‑party services
The Services may interoperate with third‑party products (e.g., Stripe, cloud providers, spreadsheets). Your use of third‑party products is governed by their terms and privacy policies.
12. Confidentiality
Each party may receive Confidential Information from the other. The receiving party will use the same care it uses to protect its own confidential information (no less than reasonable care) and only use it to perform under these Terms.
13. Privacy
Your use of the Services is subject to our Privacy Policy. Where required, we offer data processing agreements for customers acting as controllers.
14. Security
We implement administrative, technical, and physical safeguards appropriate to the risk. You are responsible for secure configuration of your accounts, roles, and API keys.
15. Term & termination
- These Terms remain in effect while you use the Services.
- Either party may terminate for material breach if not cured within 30 days after written notice.
- We may suspend or terminate immediately for abuse, security risks, or non‑payment.
- Upon termination, your access ends and we will delete or return Customer Data as described in the Privacy Policy or DPA.
16. Disclaimers
THE SERVICES ARE PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. DATA AND OUTPUTS MAY CONTAIN ERRORS.
17. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; AND (B) EACH PARTY’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU TO FINBAR FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
These limits do not apply to liability for breach of confidentiality, infringement/misappropriation, or your payment obligations.
18. Indemnification
You will defend, indemnify, and hold harmless Finbar from claims arising out of your use of the Services, Customer Data, or breach of these Terms. We will defend you against third‑party claims alleging that the Services infringe IP rights, and pay damages finally awarded, provided you promptly notify us and cooperate. We may modify or replace the Services to avoid infringement.
19. Governing law & venue
Placeholder — choose one and update: These Terms are governed by the laws of (a) the State of Delaware, USA, with exclusive jurisdiction in courts located in New Castle County; or (b) England and Wales, with exclusive jurisdiction in the courts of London; or (c) your local jurisdiction as stated in an Order Form.
20. Export controls & sanctions
You represent that you are not located in, or a resident of, any country or on any list subject to embargoes or sanctions. You will not use the Services in violation of export control or sanctions laws.
21. Anti‑corruption
Each party will comply with applicable anti‑bribery and anti‑corruption laws, including the U.S. FCPA and the UK Bribery Act.
22. Publicity
We may use your name and logo to identify you as a customer, subject to your reasonable brand guidelines. You may opt out with written notice.
23. Beta features
We may offer pre‑release features labeled as “Beta.” Beta features are provided for evaluation without support or warranties and may be discontinued at any time.
24. Changes to the Services & Terms
We may modify the Services to improve performance, security, or functionality. We may update these Terms; material changes will be notified via email or in‑app. Continued use after changes become effective constitutes acceptance.
25. Miscellaneous
- Notices. Legal notices to Finbar: legal@finbar.pro. We may notify you via email or the dashboard.
- Assignment. You may not assign these Terms without our consent. We may assign to an affiliate or in connection with a merger/acquisition.
- Force majeure. Neither party is liable for delays beyond reasonable control.
- Severability. If a provision is unenforceable, the remainder remains in effect.
- Waiver. A failure to enforce is not a waiver.
- Order of precedence. If there is a conflict, an Order Form or DPA (if applicable) controls over these Terms.
- Entire agreement. These Terms, together with referenced documents, are the entire agreement between the parties regarding the Services.
